Luggage Nest — Storage Partner Agreement
Effective date: the date both parties sign.
This is the agreement a partner signs before the listing goes live. Annex I is completed at signature. Luggage Nest is a trading name of Panda Raid LLC.
Parties
Lugginest: Panda Raid LLC, a limited liability company organised under the laws of Texas, United States, with its address at 7345 West Sand Lake Road, STE 210 OFFICE 9170 Orlando, FL 32819, United States. Its formation is public with the Texas Secretary of State. This agreement does not state a file number. “Lugginest” and the “Platform” mean Panda Raid LLC when it operates the Luggage Nest brand.
The Partner, or the “Establishment”, is the business named in Annex I, at the commercial address stated there, with the tax registration number and the representative named there.
The parties agree as follows.
1. Purpose
1.1. Lugginest operates a digital platform that lets travelers find, book and pay for temporary luggage storage offered by associated businesses.
1.2. The Partner has premises and space suitable to receive, store and return travelers’ luggage, and wants to offer that service through Lugginest.
1.3. The Partner authorizes Lugginest to list the establishment as a luggage storage point and agrees to provide the service to travelers who book through the platform.
1.4. Lugginest acts as a technology and commercial intermediary. It brings customers, manages bookings, processes payments and carries messages between the people involved.
1.5. The Partner is responsible for the physical receipt, custody, care and return of the luggage during the booked period.
2. Lugginest’s obligations
Lugginest agrees to:
- 2.1. Give the Partner access to the platform and the tools needed to see and manage bookings.
- 2.2. List the establishment on Lugginest’s commercial channels, including the website and other acquisition channels the Platform considers appropriate.
- 2.3. Give the Partner the information needed to identify the booking, the traveler’s code, the dates, the times and the number of bags.
- 2.4. Process travelers’ payments and settle the Partner’s amounts under the commercial terms of this agreement.
- 2.5. Support the traveler on bookings made through Lugginest and act as the contact for incidents.
- 2.6. Tell the Partner about operational changes that can affect the service.
- 2.7. Provide the brand identification and communication materials it considers necessary to identify the establishment as an associated storage point.
3. The Partner’s obligations
The Partner agrees to:
- 3.1. Keep a specific indoor space that is secure and suitable for temporary luggage storage.
- 3.2. Keep the luggage supervised and out of unauthorized reach of customers, visitors or anyone who is not the responsible staff.
- 3.3. Have staff available during the published hours to receive and return luggage.
- 3.4. Accept only luggage that belongs to a valid Lugginest booking, unless the Platform expressly authorizes otherwise.
- 3.5. Check each booking before accepting the luggage, using the traveler’s code.
- 3.6. Record receipt and return in the platform. Receipt is recorded when each bag has been photographed and the Partner confirms the bags were received. Return is recorded when the handover is photographed and marked delivered.
- 3.7. Identify each bag and tie it to its booking through that platform record.
- 3.8. Return each bag in the condition in which it was received, apart from wear or circumstances that are not the Partner’s.
- 3.9. Not move the luggage to another address, facility or establishment without Lugginest’s prior authorization.
- 3.10. Keep hours, storage capacity, temporary closures and any other fact that can affect bookings up to date.
- 3.11. Tell Lugginest immediately about any incident, irregularity, suspected illegal activity or circumstance that can compromise the luggage.
- 3.12. Not change the conditions of a confirmed booking on its own, and not ask the traveler for extra payment for services included in that booking.
4. The storage space
4.1. The Partner warrants that the storage space:
- Is inside the establishment.
- Is not freely accessible to the public.
- Lets the bags stay organized and identified.
- Is protected against unauthorized access.
- Meets the applicable safety, hygiene and care conditions.
4.2. The Partner will not use the space designated for Lugginest luggage for other purposes that compromise its availability or safety.
4.3. Lugginest may ask for photographs, information and documents that are reasonably necessary to check the space.
4.4. Lugginest may check compliance in person or remotely, itself or through authorized third parties.
4.5. The Partner tells Lugginest in advance about any material change to the storage space.
5. Receiving and returning luggage
5.1. The Partner accepts only luggage tied to a booking confirmed on Lugginest.
5.2. At drop-off, the Partner:
- Checks the traveler’s code.
- Checks the number of bags.
- Identifies each bag in the platform, including a photograph of each bag.
- Records receipt in the platform.
- Reports any discrepancy before accepting the luggage.
5.3. The Partner does not accept extra bags that are not in the booking unless the booking is updated and confirmed on the platform first.
5.4. At collection, the Partner checks the traveler’s code, photographs the handover and records delivery in the platform.
5.5. The Partner does not hand the bags to someone who does not show that code, unless Lugginest expressly authorizes it.
5.6. Any difference between the number of bags recorded and the number actually received or returned is reported to Lugginest immediately.
6. Commercial terms
6.1. The traveler pays through Lugginest:
- €3.50 for each bag stored.
- A service and protection fee of €1.99 per booking.
6.2. The Partner’s remuneration is:
- €3.50 for the first bag of each booking.
- €2.50 for each additional bag in the same booking.
6.3. The €1.99 service and protection fee belongs entirely to Lugginest. It is a contractual fee for the platform, support and the protection program. This agreement does not describe that program as insurance.
6.4. These amounts are the commercial remuneration agreed between the parties, without prejudice to indirect taxes, withholdings or other tax duties that apply.
6.5. The Partner does not change the published prices and does not charge the traveler extra for services included in a confirmed booking.
6.6. Lugginest may offer travelers discounts, promotions or incentives. Those promotions do not reduce the Partner’s remuneration unless the parties expressly agree beforehand.
6.7. Lugginest settles the Partner’s amounts weekly or every two weeks, by bank transfer or another agreed method. The exact cadence, weekly or every two weeks, is written in Annex II before the listing goes live.
6.8. Each settlement includes a breakdown of completed bookings, the number of bags, the remuneration and the applicable adjustments.
6.9. The Partner provides correct bank, tax and commercial information and keeps it up to date.
6.10. No remuneration accrues for cancelled bookings or for services that were not provided, unless the applicable cancellation terms expressly say otherwise.
7. Cancellations and availability
7.1. The Partner honors confirmed bookings and keeps the establishment able to receive and return luggage during the agreed hours.
7.2. The Partner tells Lugginest immediately about anything that can prevent the service, including closures, hour changes, lack of capacity or an unavailable space.
7.3. The Partner does not cancel a confirmed booking on its own unless a justified cause materially prevents the service.
7.4. If the Partner cannot take a booking, it tells Lugginest immediately and helps find a solution for the traveler.
7.5. If a booking cannot be completed for a cause attributable to the Partner, the Partner is not paid for it and may be responsible for the reasonable direct costs of that failure, to the extent applicable law allows.
8. Prohibited items
8.1. The Partner does not have to accept items that are not ordinary luggage or that create a risk for the premises, the staff, the customers or the other stored bags.

- Flammable, toxic or dangerous substances.
- Drugs and illegal substances.
- Live animals.

8.4. The Partner tells Lugginest immediately when it refuses luggage for one of these reasons.
9. Responsibility and security
9.1. The Partner is responsible for the physical custody of the luggage from the moment receipt is recorded until return is recorded.
9.2. The Partner takes reasonable and appropriate measures to prevent loss, theft, tampering, damage or unauthorized access.
9.3. If luggage is lost, stolen, damaged or handed to an unauthorized person, the Partner:
- Tells Lugginest immediately.
- Provides the available information about the incident.
- Keeps relevant evidence, including records and video recordings where they exist and the law allows them to be kept.
- Cooperates with the investigation.
- Provides the documents needed to handle the claim.
9.4. The Partner keeps the licenses, authorizations and insurance cover that the law requires for its own services.
9.5. Before the activity starts, the parties confirm in writing the liability cover and the cover for stored goods, including limits, exclusions and the claim procedure.
9.6. Nothing in this agreement excludes a liability that applicable law does not allow to be limited or excluded.
10. Luggage that is not collected

11.5. Where needed, the Partner expressly authorizes Lugginest to manage profiles, listings and posts in directories and map platforms, in line with each provider’s policies.
11.6. This authorization does not guarantee that a third party will create, verify, keep or approve any profile.
12. Bookings and customers
12.1. Bookings that start on Lugginest are managed on the platform.
12.2. The Partner does not ask travelers to cancel a Lugginest booking in order to buy the same service directly, or through another platform.
12.3. The Partner does not charge the traveler directly for a booking managed by Lugginest, unless the Platform expressly authorizes it or a payment failure has to be resolved under a reconciliation procedure.
12.4. The Partner may keep its ordinary commercial activity and offer storage that is not tied to a Lugginest booking.
12.5. The Partner is not under a general exclusivity duty and may work with other storage platforms, unless the parties expressly agree otherwise in writing.
13. Data protection and confidentiality
13.1. Each party meets the data-protection duties that apply to it.
13.2. The Partner uses travelers’ personal data only to manage the bookings and provide the contracted service.
13.3. The Partner does not use travelers’ data for its own advertising, marketing or prospecting without a valid legal basis.
13.4. The parties keep confidential the commercial, operational, financial and technical information they receive because of this agreement.
13.5. The confidentiality duties continue after the agreement ends.

- A risk to travelers or their belongings.
- Loss or theft of luggage.
- A serious breach of the storage procedures.
- Repeated failure to honor confirmed bookings.
- A failure to meet legal or safety duties.
15.4. Where the breach can be fixed and there is no immediate risk, Lugginest may give the Partner a reasonable time to correct it.
15.5. When the agreement ends, the Partner stops using Lugginest’s brand and materials and completes pending bookings, unless Lugginest directs otherwise.
15.6. Amounts already earned and not yet settled remain payable after the agreement ends.
